Amphenol Corporation and CommScope announced on July 18 that Amphenol will acquire CommScope’s entire Outdoor Wireless Networks (OWN) business segment as well as its Distributed Antenna Systems (DAS) business unit, which is part of CommScope’s Networking, Intelligent Cellular and Security Solutions (NICS) business segment. Amphenol will pay $2.1 billion in cash, and the companies expect the deal to close in the first half of 2025.
“These combined businesses are currently expected to have full-year 2024 sales and EBITDA margins of approximately $1.2 billion and 25%, respectively,” Amphenol said in its statement. “Assuming a continuation of current economic conditions, the acquisition is expected to be accretive to Amphenol’s diluted earnings per share in the first full year after closing, excluding acquisition-related costs.”
Amphenol’s president and chief executive officer R. Adam Norwitt commented the company was particularly “encouraged that the businesses we are acquiring make up the former Andrew Corporation portfolio of products—a company with a rich history of innovation and technology leadership in the wireless industry.” He added the acquisition “supports Amphenol’s long-term growth and balanced market exposure across all areas of the electronics market … We are excited by the prospect of adding CommScope’s mobile networks businesses and their approximately 4,000 talented employees to the Amphenol family.”
CommScope’s CEO Chuck Treadway stated, “This transaction allows CommScope to increase focus and further strengthen its CommScope NEXT priorities with its remaining segments and business units. We believe CommScope’s OWN and DAS businesses are positioned to continue to perform well under Amphenol’s leadership.”
CommScope also pointed out the OWN business segment provides wireless infrastructure for mobile networks, including macro and small cell site solutions, while the DAS business unit provides solutions for cellular infrastructure inside venues, campuses, and enterprises.
Amphenol stated the addition of these CommScope businesses will be complementary to its existing product portfolio for wireless networks. On its website, Amphenol characterizes its mobile-networks market presence by explaining it is “a leading global interconnect solutions provider to the mobile networks market” and that it “offers a wide product portfolio, including antennas, connectors and interconnect systems. Our products are used in current and next-generation wireless communications standards, including in 5G networks. We work with service providers around the world to offer an array of antennas and installation-related site solution interconnect products. We provide solutions that span antenna systems, base stations, combiners, filters and amplifiers, core network controllers, distributed antenna systems, mobile switches, radio links, small cells and wireless routers.”
